- Completing an impartial fundability analysis as to the likelihood of attaining equity financing, and at what valuation, on what terms, and equity instruments most likely available (common, preferred, liquidity preference, etc.)
- Assembling of a comprehensive deal data room with a focus on the investment value proposition of the equity financing, including preparing and assembling:
- The Company’s Business Plan, Investor Presentation, and Financial Projections, with a particular focus on the Use of Funds Statement and anticipated investor return (Expected Case, Best Case, Worst Case, Etc.) of the equity investment, all prepared at a level of quality and sophistication for review by institutional investors
- The Company’s Historical Financial Statements, appropriately assembled and presented for professional/institutional investor review, including copies of tax returns, income statements, and balance sheets (usually for the last 3 years and the current year)
- External and internal analysis and research, consulting reports, company research, industry newsletters, competitive analyses, etc.
- Certificate of incorporation and amendments thereto
- List of jurisdictions in which qualified to do business or otherwise operate within
- Documentation as to the number of authorized, issued, and outstanding shares
- Capital Stock Transactions within the last three years, especially as to existing debt finance obligations and structures
- Joint venture and partnership agreements
- Licensing/Royalty Agreements

- Documentation regarding any material litigation or disputes (pending and within the last 5 years)

- Develop and execute a “wide and focused” contact and presentation strategy to prospective investors for equity financing, including

- Facilitating preliminary due diligence and then assisting the Company through the detailed diligence, negotiation, and deal-closing processes.

Interview Company Management
- Interview company management regarding the company’s vision, mission, capital structure (amount of money to be raised, valuation, share structure, etc.).
Prepare Documentation
- We develop or refine investor materials, including the investor / company presentation, the executive summary, and the full business plan, and offering memorandum, as needed and appropriate.
- In this process, we highlight the company’s management team, competitive advantages, and value proposition. We develop a well-defined exit strategy and demonstrate the investor return.
Develop Target Lists
- We develop comprehensive lists of qualified, prospective investors from our extensive network. We invest significant time and energy to identify and assess unique, creative, and “off the beaten path” sources of investment, including family offices, strategic, and overseas investment firms.
